End User License Agreement

1. Introduction

This End User License Agreement ("EULA") is a legal agreement between you (the "User") and Xalo Software for the Musika application, including all associated components, the Sekiwa license verification system, documentation, and updates (collectively, the "Software").

By installing, activating, or using the Software, you agree to be bound by this EULA. If you do not agree, do not install or use the Software.

2. License Scope

2.1 Grant

Xalo Software grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use Musika on a single device per activated license key, strictly in accordance with the purchased plan and these terms.

2.2 Duration

The license duration is determined by the plan purchased:

• Starter: 30 days from activation
• Paid Standard: 30 days from activation
• Standard free trial: 7 days from activation
• Premium: 1, 2, or 3 years from activation as purchased
• Pro: 1 year from activation with annual renewal

Starter, paid Standard, Premium, and Pro terminate automatically after expiry and any applicable grace period. The Standard free trial has no grace period and terminates immediately at expiry.

2.3 Device Binding

Each license key is cryptographically bound to the device on which it is first activated via the Sekiwa system. The binding uses a device fingerprint derived from hardware identifiers. License keys cannot be transferred, moved, or reinstalled on a different device without explicit authorization from Xalo Software.

2.4 Updates

Xalo Software may provide updates, patches, or new versions of the Software. Updates are subject to this EULA unless accompanied by a separate license agreement. Xalo Software is not obligated to provide updates or support for any version.

3. License Restrictions

You may NOT:

3.1 Tampering

• Modify, decompile, disassemble, decrypt, reverse engineer, or attempt to derive the source code of the Software or any component thereof
• Bypass, disable, remove, or circumvent the Sekiwa license verification system, including cryptographic checks, device fingerprinting, time validation, or any other security mechanism
• Modify system time or clock settings to extend license validity or manipulate grace period calculations
• Alter device identifiers to circumvent device binding

3.2 Copying and Distribution

• Copy, reproduce, distribute, rent, lease, lend, sell, sublicense, or transfer the Software or license keys to any third party
• Make the Software available over a network where multiple devices can use it simultaneously under a single license
• Upload, host, or redistribute the Software on any public or private file-sharing platform, repository, or application store

3.3 Commercial Exploitation

• Use the Software to provide commercial services to third parties without a valid Pro license or separate agreement
• Incorporate the Software into another product or service offered to third parties

4. License Violation and Consequences

4.1 Detection

The Sekiwa system actively monitors for license compliance, including:

• Cryptographic signature verification on every license check
• Device fingerprint comparison on every validation
• System clock integrity checks (time rollback detection)
• License payload integrity verification

4.2 First Violation

Upon first detection of any violation of Section 3:

• License state is set to restricted
• Remaining license duration is reduced by 50% as a penalty
• A notification is displayed explaining the violation

4.3 Repeat Violation

Upon detection of any further violation:

• License state is set to tampered
• The license is permanently revoked and cannot be reinstated
• The device fingerprint is added to a blacklist
• No refund is provided
• A new license must be purchased to use the Software

4.4 Commercial Violation

Any violation involving commercial distribution, sale of cracked versions, or provision of tampering tools to others will result in:

• Immediate and permanent license revocation for all associated licenses
• Device and customer blacklisting
• Pursuit of all available legal remedies, including under the Zimbabwe Cyber Crime Act [Chapter 11:28]
• Liability for damages, including lost revenue and legal costs

5. Ownership

The Software is licensed, not sold. Xalo Software retains all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any ownership rights.

6. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. XALO SOFTWARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XALO SOFTWARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SOFTWARE. XALO SOFTWARE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC LICENSE GIVING RISE TO THE CLAIM.

8. Termination

This EULA terminates automatically if you violate any of its terms. Upon termination:

• You must immediately uninstall the Software and destroy all copies
• Your license key is permanently invalidated
• Sections 4, 5, 6, 7, 8, and 9 survive termination

9. Governing Law

This EULA is governed by the laws of the Republic of Zimbabwe. Any disputes shall be resolved in the courts of Zimbabwe.
