Terms of Service

1. Acceptance

By downloading, installing, activating, or using Musika ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not install or use the Software.

Xalo Software may update these Terms at any time. Continued use after changes constitutes acceptance. You will be notified of material changes via the app or musika.xalosoftware.com.

2. The Service

Musika is an offline-first point-of-sale and shop management application designed for small and growing businesses. It operates under a license-based activation model using the Sekiwa system.

3. Eligibility

You must be at least 18 years old or have the consent of a parent or legal guardian to use the Software. By accepting these Terms, you represent that you meet this requirement and that all information you provide during activation is accurate.

4. License Grant

Subject to these Terms, Xalo Software grants you a limited, non-exclusive, non-transferable, revocable license to use Musika on a single device per activated license key. This license is strictly personal to the purchasing entity.

The license is activated through the Sekiwa QR activation system and is cryptographically bound to the device fingerprint of the activating device. License keys cannot be transferred between devices without explicit authorization from Xalo Software.

5. License Plans and Payment

5.1 Plans

Musika offers the following license plans:

  • Starter — $10/month (30-day license)
  • Standard — $15/month (Then $15/mo) (30-day paid license, with optional 7-day free trial)
  • Premium 1 year — $250/year
  • Premium 2 years — $450/year ($225/yr)
  • Premium 3 years — $600/year ($200/yr)
  • Pro — $30/month
  • Pro — $300/year (Save 17% vs monthly)

5.2 Payment

Paid licenses are processed in person through Xalo Software's activation model. License keys are issued after payment confirmation. No automated billing or online payment processing is provided at this time. Standard also offers a self-serve 7-day free trial that does not require payment to start.

5.3 Renewal

Starter and paid Standard licenses require renewal every 30 days. Upon expiry, a 7-day grace period applies. After the grace period, the app locks and a new license must be purchased.

The Standard 7-day free trial is separate from paid Standard. It lasts exactly 7 days, has no grace period, and goes straight to the paywall at expiry unless upgraded to a paid license.

Premium and Pro plans include their full duration in the license key expiry date. No renewal is required during the purchased period.

5.4 Price Changes

Xalo Software reserves the right to change pricing for new licenses and renewals. Existing active licenses remain valid under the pricing terms in effect at the time of purchase.

6. Refunds

License activation is irreversible. Once a license key has been scanned, verified, and activated on a device, no refunds will be issued.

Refund requests for unactivated license keys may be considered on a case-by-case basis within 7 days of purchase. Contact xalosoftware@gmail.com with your purchase details.

7. User Responsibilities

You agree to:

  • Use the Software only for lawful purposes
  • Maintain the confidentiality of your device and license
  • Not tamper with, modify, reverse engineer, or bypass the Software's license verification or security systems
  • Not distribute, resell, or sublicense the Software or license keys
  • Not use the Software in any manner that violates applicable laws
  • Not attempt to circumvent device time checks, license expiry validation, or cryptographic verification

8. Prohibited Conduct

The following actions are strictly prohibited:

8.1 Tampering

Any attempt to manipulate, bypass, disable, or remove the Sekiwa license verification system, including but not limited to:

  • Modifying system clock to extend license validity (time tampering)
  • Altering device fingerprint to bypass device binding
  • Modifying the Musika APK to remove or bypass license checks
  • Decrypting, decompiling, or reverse engineering the license verification code
  • Using modified, cracked, or unauthorized versions of the Software

8.2 Unauthorized Distribution

  • Copying, distributing, or making the Software available to third parties without authorization
  • Reselling license keys issued by Xalo Software
  • Operating a license generation or activation service without written authorization

8.3 Violation of Law

  • Using the Software for fraudulent, illegal, or deceptive purposes
  • Using the Software to process transactions involving illegal goods or services

9. Penalties for License Tampering

Xalo Software employs active tamper detection through the Sekiwa system. The following penalties apply automatically upon detection:

Level 1 — First Tamper Offense

Upon detection of tampering (including time manipulation, device fingerprint mismatch, or integrity check failure):

  • License state is set to restricted
  • The license expiry date is reduced by 50% as a penalty
  • A warning is displayed explaining the violation and penalty
  • The tamper event is recorded in the license audit log

Level 2 — Repeat Tamper Offense

Upon detection of a second tampering event on the same license:

  • License state is set to tampered (permanent revocation)
  • The license is permanently invalidated and cannot be reactivated
  • The device fingerprint is blacklisted
  • No refund will be issued
  • A new license must be purchased at full price to continue using the Software

Level 3 — Commercial Tampering

Any attempt to distribute, sell, or operate a cracked, modified, or unauthorized version of the Software, or to provide tampering tools or services to others:

  • All penalties under Level 1 and Level 2 apply
  • Xalo Software reserves the right to pursue legal action under applicable law, including the Zimbabwe Cyber Crime Act
  • The offending party may be liable for damages, including lost revenue, legal costs, and investigation expenses

10. Termination

10.1 By User

You may terminate these Terms by uninstalling the Software and discontinuing use. No refunds will be provided for unused license periods.

10.2 By Xalo Software

Xalo Software may terminate or suspend your license immediately without notice if you violate these Terms, including engaging in any prohibited conduct described in Section 8. Upon termination, your license is revoked and you must cease all use of the Software.

10.3 Effect of Termination

Upon termination:

  • Your license to use the Software ends immediately
  • You must uninstall the Software and destroy all copies
  • Any license fees paid are non-refundable
  • Sections 9, 10, 11, 12, 13, and 14 survive termination

11. Intellectual Property

Musika, the Musika logo, Sekiwa, the Sekiwa logo, and all related intellectual property are owned exclusively by Xalo Software. These Terms do not transfer any ownership rights. You may not use Xalo Software's trademarks, logos, or branding without prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Software is provided "as is" without any warranty, express or implied
  • Xalo Software does not guarantee that the Software will be uninterrupted, error-free, secure, or free from defects
  • Xalo Software is not liable for any loss of data, business interruption, lost profits, or financial losses arising from the use or inability to use the Software
  • In no event shall Xalo Software's total liability exceed the total amount paid by you for the specific license giving rise to the claim
  • You are solely responsible for maintaining backups of your business data

13. Data and Privacy

Musika is an offline-first application. Your device's local storage is the authoritative source of truth for all business data. Your business data (sales, products, stock, customers, receipts) is stored locally on your device using SQLite.

No data leaves your device unless you explicitly choose to sync. Xalo Software does not have access to your business data unless you:

  • Enable the optional cloud sync feature (available on Standard+ plans)
  • Voluntarily share data with support for troubleshooting
  • Use backup features that you explicitly initiate

Cloud sync is entirely opt-in, disabled by default, and can be turned off at any time from Settings. When enabled, data is transmitted to Convex Cloud (a third-party backend platform) using a local-first sync queue.

Xalo Software collects minimal information necessary for license verification, including:

  • Device fingerprint (hardware identifiers, anonymized)
  • License activation and validation records
  • Anonymized crash and error logs (if enabled)

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Republic of Zimbabwe.

14.2 Dispute Resolution

Any dispute arising from these Terms shall first be resolved through informal negotiation. If negotiation fails, the parties agree to mediation before a mutually agreed mediator in Kariba, Zimbabwe. If mediation fails, the dispute shall be resolved in the courts of Zimbabwe.

14.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
